UCSF Office of Legal Affairs

CONTRACTS & GRANTS

We are committed to providing high quality legal services to the University of California , San Francisco . By advising the administration, faculty, and employees on contract-related matters pertaining to the University, we strive to minimize the legal risk and liabilities potentially facing the institution, while at the same time assisting our clients in accomplishing their goals.

Commitments or contracts normally begin at a department level with the assistance of the University support units having delegation of authority to act within their subject areas. These include:

  • Contracts and Grants Office
  • Industry Contracts Division
  • Real Estate Services
  • Facilities Design and Construction
  • Office of Technology Management
  • Campus Business Contracts and Procurement
  • Medical Center Business Contracts and Procurement

The originating party is responsible for contacting the appropriate support unit, in addition to discussing any financial commitments with the persons who control the required financial resources.

The Office of Legal Affairs is available to assist the support units with all legal matters affecting University contracts. Legal Affairs, which reports to both the UC Office of General Counsel and the Chancellor, provides advice on the legal aspects of a particular contract which include advice as to whether an agreement is legally binding, whether its terms and conditions are consistent with each other, and whether the language clearly describes the intentions of the parties and their respective rights and obligations.

We ask that requests for legal review be accompanied by the Contracts Checklist [doc] , so we can best understand, expedite, and advise appropriately on the matter at hand, with sufficient time allowed for review and consultation. Typically, it will be the support unit that will contact this office for guidance. However, if you have a contract issue, you should feel free to route it to us as described above. It is best to contact this office after the responsible department has reviewed the contract but prior to the beginning of the contract negotiation process. Departments/units must be prepared to make decisions on the business terms of the contract, as well as monitor compliance with the contract throughout its term.

Please keep in mind that only certain representatives of the University have a specific delegation of authority to make contractual commitments on behalf of the University.
